The FOUNDATION STATUTE
General Provisions
Article 1
Foundation "Work of the New Millennium ", further called the Foundation, established by the Conference of the Polish Episcopate, further referred to as the founder, by a notarial act drawn up by the notary, acting under the provisions of the Act of 6 April 1984 on Foundations (OJ 1991 No. 46, poz.203) Act of 17 May 1989 (OJ 1989 No 29, item. 154, as amended. zm.) and the provisions of this Statute.
Article 2
The Foundation has legal personality.
Article 3
The Foundation is based in Warsaw.
Article 4
1st The Foundation operates in the Polish Republic.
2nd To more effectively achieve its objectives - the Foundation may also operate outside the country.
3rd The Foundation directs its activities to the general public.
Article 5
1st State supervision over the activities of the Foundation - because of its goals - has a minister responsible for education and higher education.
2nd Regardless of the surveillance state, the supervision exercised over the activities of the Foundation of the Polish Episcopate Conference, as a founder, in accordance with Article. 58 Law on the Relationship between the State and the Catholic Church in the Polish Republic (OJ of 1989 No. 29, poz.154 as amended. Was..)
For the Founder's supervision will be carried out by the Bureau of the Polish Episcopal Conference.
Article 6
The objectives of the Foundation are as follows:
A) promoting the development of culture and Christian doctrine and Christian media in Poland,
2) improving educational opportunities for young people from small towns and villages,
3) the promotion of teaching of Pope John Paul II.
Article 7
The Foundation pursues its objectives by:
A) organizing and financing:
a) scholarships and awards for people involved in culture and Christian doctrine and Christian media in Poland,
b) to support poorer school students and students from small towns and rural areas in access to education, science and culture,
c) the research works,
d) conferences and seminars, events and competitions at home and abroad within the scope of the Foundation's objectives,
e) the forum for the development, popularization and promotion of the objectives and ideals, which serves the Foundation,
f) promoting activities and information to implement the objectives of the Foundation.
g) camps and workshops, training and recreation.
2) cooperation with government institutions, local governments and other entities and individuals, both at home and abroad - relevant objectives of the Foundation.
Article 8
To achieve its objectives the Foundation may support the activity of other legal persons and natural persons whose activity is consistent with its objectives.
Assets and income of the Foundation
Article 9
The Foundation's assets is a start-up fund in the amount of 700,000 PLN (in words: seven hundred thousand) and financial resources, real estate and movable property purchased by the Foundation during its operation.
Article 10
1st The Foundation's income comes from:
A) gifts, bequests and legacies,
2) grants,
3) The grant of legal persons,
4) The bank interest rates,
5) income from real and personal property.
2nd The Foundation's income referred to in paragraph 1. is wholly for the implementation of the statutory objectives of the Foundation.
Article 11
If the Foundation is to inherit, the Board may make a declaration of acceptance of inheritance with all its obligations only if at the time of this statement is obvious that the state of virtual inheritance is well above long inheritance.
Article 12
1st Natural and legal persons who make donations to the foundation in an amount equal to at least 100,000 zł. May obtain an Honorary Donor Foundation.
2nd The foundation carries the Book of Honorary Donor, which is part of the donors, who in a special way contributed to the development of the Foundation
Article 13
1st The title of Honorary Donator is personal.2. The Foundation may receive the title of Honorary Donator in the event that a person's activities were inconsistent with the objectives and nature of the Foundation.
Authorities of the Foundation
Article 14
1st The authorities of the Foundation are:
1) The Foundation Council
2) The Foundation's Management
3) Audit Committee.
2nd Members of the Foundation may not be the person convicted of willful misconduct.
3rd Members of the Foundation Council and the Audit Committee may not be the members of the Foundation Board and the members of their families or relatives of members of the Management.
Article 15
The Foundation Management consists of eight to twelve members appointed by the Founder, with their consent.
Article 16
1st Each of the members of the Foundation are appointed and dismissed by the Founder.
2nd The term of office of the Foundation Council shall be three years.
3rd While respecting the principles referred to in paragraph. 2, it is possible appointment of a member of the Foundation during the term of office for the period was completed and the appeal at any time.
Art 17
The competencies of the Foundation are:
1) The selection of the Chairperson and Deputy Chairperson from among the members of the Council, that the first chairman for one year, appointed by the Founder.
2) approval of the project activities of the Foundation and the budget for the next year,
3) adopt the report of the Management Board of the Foundation and its annual operation and provision of discharge to the Management Board - following a favorable opinion of the report by the Audit Committee,
4) adopting resolutions on the draft amendments to the Statute of the Foundation,
5) the granting and receiving the title of Honorary donor
6) determination of the principles of making entries in the Book of Honorary Donor and pass resolutions on the alert
7) approving the terms and conditions of employment of employees of the Foundation,
8) The granting of honorary medals and other prizes to deserving individuals for the Foundation
9) give consent to the regulation component of the Foundation's assets with a value exceeding PLN 100,000 (verbal: one hundred thousand zł)
10) granting consent to join the Foundation for a commercial company,
11) other matters specified in the Statute.
Article 18
1st The Foundation Board meets twice a year in ordinary session.
2nd Extraordinary Council meeting may be convened by the Foundation Board of the Foundation on its own initiative or at the request of two members of the Council, its chairman or at the request of the Audit Committee. Extraordinary meeting should be held within 21 days from the date of the application by the Executive Board authorized entities.
Article 19
1st Resolutions of the Foundation shall be taken by an absolute majority of votes in the presence of at least half of the Council.
2nd President of the Council may in exceptional circumstances, order a written vote on the resolution of the Foundation. , Respectively. 1 shall apply accordingly.
3rd Regulates the organization of work of the Council adopted its rules of procedure.
Article 20
Directs the Foundation Board, in accordance with its Statute.
Article 21
1st The Foundation's Board consists of three to seven people, including the chairman and deputy.
2nd Foundation Board appointed by the Council of the Foundation for four years.
3rd The Foundation Council may appoint a member of the Board during the term of office for a term to its completion.
4th Decisions of the Council of the Foundation referred to in paragraph. 2 and 3, shall enter into force after approval by the Founder
5th The first Executive Board, consisting of three persons and the chairman of the Board appointed by the Founder. Composition of the Board may be supplemented during his term of office in accordance with paragraph. 3rd The Foundation Board during the first term of the Board may extend its composition in accordance with paragraph. 1st
6th When the term of the current Board shall perform its duties until the appointment of the new term of the Management Board
Article 22
1st The Foundation's Board is obliged and empowered to take all actions and conduct of affairs of the Foundation, in accordance with the Statute.
2nd For the Foundation Board include:
a) the objectives of the Foundation, in accordance with the Statute,
b) represent the Foundation on the outside,
c) prepare draft rules of organization of the Foundation,
d) preparing the project activities and budget for the next year,
e) reporting on the activities and financial statements for each year
f) collecting the donations, grants, donations, bequests and legacies,
g) managing the assets of the Foundation, conducting financial matters according to the principles of sound and to achieve the objectives of the Foundation,
h) preparation of proposals for the granting of titles, medals and other awards to deserving persons for the Foundation.
3rd Board may determine the Rules of the specific mode of their work, which is to be consistent with the Statute.
4th The Foundation's Board provides a job for the Foundation Council and the Audit Committee.
Article 23
1st The Foundation's Board shall decide the vote - an absolute majority of votes in the presence of at least half of the Board.
2nd In urgent cases may be decided by the Chairman of the Board, but such a decision requires the approval at the next meeting.
3rd To make declarations and signing for the foundation is required for interaction of two members of the Board, one of whom shall be the chairman or deputy chairman.
4th Declaration of intent on behalf of the Foundation for routine administration may consist of a person authorized by resolution of the Board.
Article 24
The Foundation's Board is authorized to establish proxy.
Article 25
Management, in consultation with the Council of the Foundation may invite the person deserved the Foundation for the Honorary Committee of the Foundation, which is not her body.
Art 26
Monitoring authorities is the Foundation's Audit Committee, which represents every part of the Economic Council of the Episcopal Conference, that is, three members of the Conference elected for five years by the Plenary Assembly of the Conference
Article 27
1st The competence of the Audit Committee include:
1) the activities of the Foundation in achieving its objectives,
2) control of assets and financial activities of the Foundation,
3) informing the Board of its findings,
4) reporting and opinions of the Foundation Council at least once a year.
2nd The Audit Commission once a year to the end of June, submit a report for the previous year the Plenary Meeting of the Polish Bishops' Conference of the Foundation's activities.
Article 28
1st The Audit Committee meets twice a year, if necessary, at the request of the Founder, the Foundation Council or the Board.
2nd The Audit Committee shall express its views in the form of resolutions taken by an absolute majority of all members.
Article 29
1st The members of the Foundation fulfill their tasks without remuneration, they are entitled to reimbursement of their costs associated with meeting the body.
2nd Board member may be an employee of the Foundation, subject to the provisions of Article. 17, paragraph 7 of the Statute.
3rd The members of the Foundation, their family or relatives may not:
1) receive loans from the Foundation;
2) acquire or use the Foundation's assets on terms more favorable than those not associated with the Foundation;
3) sell goods or provide services to the Foundation on principles other than those entities not associated with the Foundation.
4th , Respectively. 3 shall also apply to employees of the Foundation.
Final Provisions
Article 30
The holder of an amendment to the Statute and the objectives of the Foundation is the Founder.
Article 31
1st The Foundation may merge with another foundation with similar objectives - in terms both of the Foundation Agreement, subject to other provisions of the Statute.
2nd In the merger, referred to in paragraph 1, the resolution taken by the Council Foundation - after obtaining the opinion of the other bodies. Resolution of the Council of the Foundation for the validity must be approved by the Episcopal Conference.
3rd On behalf of the Foundation Agreement referred to in paragraph 1, contains the Board.
Article 32
1st If the purpose for which the Foundation has been established, or if exhausted financial resources and assets of the Foundation - the Foundation be wound up in the manner specified in paragraphs. 2 and 3
2nd Resolution on the liquidation of the Foundation shall Founder - at the request of the Foundation Council.
3rd In its resolution on the liquidation of the Foundation's Founder and appoint a liquidator shall use the assets remaining after liquidation, with the principles of Article. 6 of the Statute.
